1. Acceptance of Terms & Eligibility (18+ Age Requirement)

By creating an account, accessing, browsing, or utilizing the Palix platform ("Palix", "we", "our", or "us"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy.

⚠️ Strict Age Requirement (18 Years and Older):

You must be at least eighteen (18) years of age to register an account, post trade listings, initiate proposals, or execute barter swaps on Palix. If you are under 18 years old, you are strictly prohibited from using this platform. By registering, you warrant and represent that you are at least 18 years old and have the legal capacity to enter into binding agreements under the laws of the Republic of the Philippines.

2. Independent Platform & Non-Affiliation Disclaimer

Palix is an independent software application and communications platform facilitating peer-to-peer item swapping and barter discovery between registered users in the Philippines.

Commercial Center Non-Affiliation Notice:

Palix is NOT affiliated with, sponsored by, endorsed by, partnered with, or operated by SM Prime Holdings, Inc., SM Supermalls, SM Cyberzone, or any shopping mall or commercial real estate operator. All mall names, brands, trademarks, and registered logos referenced across the platform are used solely and strictly for geographic identification and convenient public meetup location suggestions. Palix does not manage physical kiosks, does not provide security guards or surveillance services, and does not operate official exchange stations inside any commercial mall or property.

3. Nature of Service: Peer-to-Peer Barter Only

Palix functions purely as an online directory and communication intermediary connecting individual users interested in bartering or trading pre-loved personal items. Palix is not an auctioneer, retailer, broker, pawnbroker, or monetary financial institution. Palix does not hold, take possession of, inspect, authenticate, ship, or store any physical items traded by users. All swap proposals, agreements, valuations, and physical handshakes are conducted solely and directly between the respective trading parties.

4. Physical Meetups & Assumption of Risk

Users acknowledge that in-person swaps require meeting other individuals in physical locations. You expressly understand, agree, and accept that:

  • Voluntary Assumption of Risk: You voluntarily assume all risks associated with arranging, attending, and executing physical meetups with other users, including risks of personal injury, illness, property damage, fraud, theft, or assault.
  • Suggested Commercial Locations: While Palix suggests open, well-lit, high-traffic commercial centers (such as mall food courts) to maximize personal visibility, Palix cannot guarantee the safety or conduct of any participant or venue.
  • Custom & Off-Hub Locations: Any meetup arranged outside designated public commercial venues carries heightened risk. You agree to exercise extreme vigilance, meet only in daylight, inspect goods thoroughly prior to finalization, and accompany yourself with friends or guardians.
  • Inspection Responsibility: Each party is solely responsible for verifying the authenticity, working condition, serial numbers, and physical state of any item prior to completing the swap confirmation.

5. "AS IS" & "AS AVAILABLE" Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:

THE PALIX SERVICE AND ALL USER LISTINGS, DESCRIPTIONS, IMAGES, AND CONTENT ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

PALIX EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AUTHENTICITY, ACCURACY, AND NON-INFRINGEMENT. PALIX MAKES NO REPRESENTATION OR WARRANTY REGARDING THE QUALITY, SAFETY, LEGALITY, WORKING ORDER, FUNCTIONALITY, OR ORIGIN OF ANY ITEMS LISTED OR EXCHANGED THROUGH THE SERVICE.

6. Prohibited Items & Compliance with Philippine Laws

Users are strictly prohibited from listing, offering, promoting, requesting, or trading any of the following items or services on Palix:

  • Stolen Property & Fencing: Any goods that are stolen, misappropriated, or obtained through illicit means, in strict accordance with the Anti-Fencing Law of 1979 (Presidential Decree No. 1612).
  • Counterfeit & Infringing Goods: Any replica, imitation, unauthorized reproduction, pirated media, or counterfeit item violating copyright, patent, or trademark protections under the Intellectual Property Code of the Philippines (Republic Act No. 8293) and the Internet Transactions Act of 2023 (Republic Act No. 11967).
  • Firearms, Weapons & Explosives: Firearms, firearm components, ammunition, explosives, fireworks, switchblades, tactical weaponry, or replicas capable of inflicting harm, regulated under Republic Act No. 10591.
  • Dangerous Drugs & Controlled Substances: Illegal narcotics, prohibited drugs, controlled precursors, prescription drugs, pharmaceuticals, or regulated drug paraphernalia pursuant to Republic Act No. 9165 (Comprehensive Dangerous Drugs Act of 2002).
  • Alcohol, Tobacco & Regulated Substances: Alcoholic beverages, e-cigarettes, vape juices, or tobacco products without proper licenses, or offered to minors.
  • Adult, Obscene & Exploitative Content: Pornography, adult sexual novelties, obscene materials, or content depicting child exploitation.
  • Endangered Wildlife & Regulated Flora/Fauna: Live animals, endangered wildlife species, or wildlife products prohibited under Republic Act No. 9147.
  • Financial Instruments & Monetary Equivalents: Bank accounts, stolen credentials, cash loans, cryptocurrency schemes, pyramid marketing, or illegal lotteries.

Violation of this policy will result in immediate listing removal, permanent account termination, and potential referral to Philippine law enforcement agencies (such as the PNP Anti-Cybercrime Group or NBI).

7. Notice-and-Takedown Policy (Republic Act No. 11967)

In compliance with the Internet Transactions Act of 2023 (Republic Act No. 11967) and applicable consumer protection statutes:

Palix operates a functional Notice-and-Takedown mechanism. Any brand owner, intellectual property holder, authorized representative, law enforcement official, or registered user may submit a formal notice of infringement, counterfeit listing, stolen property claim, or illicit activity directly through our in-app "Report Listing" system or via email to GieExe@protonmail.com.

Upon receipt of a substantiated complaint, Palix expeditiously removes or disables access to the flagged listing, issues a warning or suspension to the trader, and cooperates with the Department of Trade and Industry (DTI) and competent authorities.

8. User Accounts, Verification Badges & Conduct

You agree to provide truthful, accurate, and current information when registering. You are solely responsible for maintaining the confidentiality of your account credentials. You agree not to engage in identity fraud, automated scraping, bot manipulation, artificial karma inflating, or deceptive feedback reviews. Verification badges (such as Google Auth, Dual-QR handshakes, or 3-photo swap proof) represent historical interaction records and do not constitute an official government background check or commercial guarantee.

9. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL PALIX, ITS CREATORS, CONTRIBUTORS, HOSTING PARTNERS, OR AGENTS BE LIABLE FOR:

  • Any direct, indirect, incidental, punitive, special, or consequential damages arising out of your access to or use of the platform.
  • Any dispute, injury, theft, loss, damage, or legal infraction arising between users during meetup negotiations, physical trades, or product exchanges.
  • The conduct, acts, or omissions of any third party, trader, or commercial mall facility.
  • Any unauthorized access to, alteration of, or data breaches affecting user transmissions.

10. Dispute Resolution & Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be instituted exclusively in the competent courts of Metro Manila, Philippines.

Users agree that any dispute between barter participants regarding trade fairness, item quality, or terms shall be handled directly and amicably between the parties. Palix is under no obligation to intervene, arbitrate, or compensate parties for barter disputes.

11. Modifications to Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. When modifications occur, we will update the "Effective Date" at the top of this document. Continued use of Palix after changes take effect constitutes your binding acceptance of the updated terms.
